Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and RelayDM governing your access to and use of the RelayDM web application, software, automation engine, APIs, and related services (collectively, the "Service"). By registering an account, creating a workspace, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of a company, organization, or brand, you represent and warrant that you have full legal authority to bind that entity to these Terms.
Description of the Service
RelayDM is a cloud-based software platform designed for Instagram Business and Creator accounts. The Service allows account owners to build automated comment-to-DM workflows, message triggers, follow-up sequences, tracked link dispatches, and audience analytics. Access to the Service is offered on a subscription basis under various plan tiers with specified account capacities and monthly automated message allowances.
Eligibility and Authority
To access or use RelayDM, you must be at least 18 years of age (or the age of legal majority in your jurisdiction) and legally capable of entering into binding contracts. You represent that you own, operate, or possess authorized administrative rights to manage any Instagram professional accounts you connect to the Service.
User Accounts and Security
You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account and workspaces. You agree to immediately notify us at relaydmsupport@gmail.com if you discover or suspect any unauthorized access, security breach, or credential compromise. RelayDM will not be liable for any loss or damage arising from your failure to safeguard your account.
Relationship with Meta and Instagram
Important Platform Independence Disclosure: • Independent Service: RelayDM is an independent third-party software service and is not affiliated with, owned by, endorsed by, sponsored by, or operated by Meta Platforms, Inc. or Instagram. • Authorized OAuth Access: You authorize RelayDM to interact with your Instagram professional account exclusively through Meta's official OAuth authorization dialogues and Instagram Graph APIs. • Compliance with Meta Terms: You must strictly comply with Meta’s Platform Terms, Instagram’s Terms of Use, Community Guidelines, Commercial Terms, messaging policies, and rate limits at all times. • Dependency on Meta Infrastructure: You acknowledge that RelayDM's functionality relies directly upon Meta’s APIs, webhook dispatchers, and permission frameworks. RelayDM is not responsible for, and cannot prevent, disruptions, rate-limiting, API schema modifications, permission revocations, or account enforcement actions imposed directly by Meta.
Acceptable Use Policy
You agree not to use RelayDM to: • Send unsolicited bulk messages, spam, repetitive promotions, or deceitful marketing. • Harass, abuse, stalk, threaten, defame, or intimidate any recipient. • Transmit unlawful, fraudulent, obscene, sexually explicit, hateful, or discriminatory content. • Impersonate any person, brand, business, or entity, or falsely imply endorsement by Instagram or Meta. • Distribute malware, phishing links, deceptive shortened URLs, or destinations leading to harmful software. • Attempt to circumvent, bypass, or tamper with plan quotas, rate limits, billing safeguards, security protocols, or API restrictions. • Reverse engineer, decompile, scrape, copy, or exploit any portion of RelayDM source code or operational infrastructure without prior written authorization.
User Responsibility for Automation Content
You are solely responsible for all content, text, media, keyword triggers, response logic, and outbound destination links configured in your automations. You affirm that: • You hold all necessary intellectual property rights and permissions for the content you distribute. • You have a legitimate relationship or consent to contact users who interact with your Instagram posts. • Your automated responses do not violate local advertising, consumer protection, or anti-spam legislation (such as CAN-SPAM or similar regulatory standards).
Subscription Plans and Quotas
Access to live automation features requires an active paid subscription or verified trial. Plan quotas (including monthly automated DM limits, connected accounts, and analytics retention periods) are explicitly displayed during checkout and on our public Pricing page. Usage quotas reset each monthly billing window based on the original subscription activation date. Exceeding plan limits may pause active automations until the next cycle or until you upgrade your plan tier.
Free Trial Terms
Eligible new workspaces may receive a one-time 7-day trial of a selected plan tier upon completing valid payment-method authorization or recurring mandate registration with our payment processors. • Verification Required: Access is unlocked only after verified provider authorization evidence is canonically received; unverified callbacks do not grant live access. • Provider-Scheduled Billing: For new subscriptions in India, the exact first-charge date is established by Razorpay and displayed before mandate authorization. New international subscriptions are not currently available. • One-Time Eligibility: Trials are limited to one per eligible workspace and customer and do not restart or renew upon plan changes. • Conversion to Paid: Unless you cancel before the trial concludes, your subscription automatically converts to the recurring paid plan tier authorized during checkout.
Billing and Payment Terms
Subscriptions are billed in advance on a recurring monthly or annual basis. • Payment Processing: New subscriptions are processed only through Razorpay in Indian Rupees for customers in India. New international subscriptions are not currently available. Stripe remains supported only for existing Stripe subscriptions and their billing records. • Mandate Authorization: For recurring mandates, payment networks or issuing banks may apply a nominal temporary authorization charge (e.g., ₹1 to ₹5) to verify account validity, which is handled per banking rules. • Auto-Renewal: Your subscription automatically renews at the end of each billing cycle unless canceled prior to the renewal date. • Failed Charges: If a recurring charge fails, we may re-attempt processing or temporarily suspend automation capabilities until a valid payment method is updated.
Cancellation Policy
You may cancel your subscription at any time directly through your dashboard by navigating to Settings → Billing → Cancel Subscription, or by emailing relaydmsupport@gmail.com. Upon cancellation, recurring renewals terminate immediately, and you retain access to your plan quotas through the end of the currently active paid billing period.
Refunds
Subscription fees for already-consumed billing periods are generally non-refundable once the billing cycle has started, as server capacity and automation infrastructure are provisioned immediately. Service Availability and Modifications
We strive to maintain high availability and reliability for RelayDM. However, the Service is provided on an "as available" basis. We do not guarantee uninterrupted, continuous, or error-free operation. We reserve the right to modify, update, enhance, or temporarily suspend features for maintenance, security patches, or to align with Meta API revisions.
Intellectual Property Rights
RelayDM, including its codebase, user interfaces, branding, logos, trademarks, and documentation, is the exclusive intellectual property of the operator. Nothing in these Terms grants you any ownership rights in RelayDM software or brand assets.
User Content and Limited License
You retain all ownership rights in the content, copy, and media you submit to RelayDM. By using the Service, you grant RelayDM a limited, worldwide, non-exclusive license to host, store, process, and transmit your content solely to the extent necessary to deliver the automated messaging and analytics features you configure.
Account Suspension and Termination
We reserve the right to suspend or terminate your account and workspace access immediately, without prior notice or liability, if: • You breach any provision of these Terms or Meta's Platform Terms. • Your account generates high volumes of spam complaints, abusive messages, or API quota violations. • Payment authorization fails or is disputed without resolution. • Required by law enforcement, judicial order, or regulatory authority. Upon termination, your right to use the Service ceases immediately, and stored access tokens are deleted in accordance with our Privacy Policy.
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AUTOMATED DMS WILL BE DELIVERED WITHOUT DELAY OR THAT META WILL NOT MODIFY ITS POLICIES REGARDING AUTOMATION.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RelayDM, ITS OPERATORS, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO RelayDM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ₹1,000 / USD $20 IF YOU ARE WITHIN A TRIAL PERIOD).
Indemnification
You agree to defend, indemnify, and hold harmless RelayDM and its operators from and against any third-party claims, damages, liabilities, costs, and legal fees arising out of: (a) your use of the Service; (b) any messages, automations, or links dispatched from your connected Instagram account; (c) your violation of these Terms; or (d) your violation of Meta's Platform Terms, Instagram Community Guidelines, or applicable laws.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws applicable to the operational jurisdiction of the operator, without regard to conflict of law principles. Any dispute arising under or in connection with these Terms shall be resolved in good faith through informal negotiation, or submitted to competent courts of appropriate jurisdiction, preserving any non-waivable statutory consumer protections available under your local law.
Modifications to Terms
We reserve the right to revise these Terms at our discretion. When updates are made, we will revise the "Last updated" date on this page. By continuing to use RelayDM after revisions become effective, you agree to be bound by the updated Terms.
